- Acceptance of Terms
1.1 By accessing, browsing, or using any part of the website, services, products, content, educational materials, workshops, consultations, or any other offerings (collectively “Services”) provided by Institute for Intersectional Relational Studies (“IIRS,” “we,” “us,” or “our”), you (“User,” “Client,” or “Participant”) agree to be legally bound by these Terms & Conditions (“Terms”).
1.2 If you do not agree to these Terms in full, you must not access or use any Services.
1.3 These Terms form a binding legal agreement between you and IIRS.
1.4 Your continued use of Services constitutes your acceptance of any modifications or updates to these Terms.
1.5 IIRS reserves the right to refuse access or service to any user at its sole discretion. - Eligibility
2.1 All Services are strictly limited to individuals who are at least eighteen (18) years of age at the time of access or use.
2.2 By using Services, you represent and warrant that:
2.2.1 You are at least 18 years old;
2.2.2 You have the full legal capacity to enter into these Terms; and
2.2.3 Your use of Services complies with all applicable laws and regulations.
2.3 IIRS may request proof of age and/or identity at any time and may suspend or terminate your access if you fail to provide such verification. - Scope of Services
3.1 IIRS offers educational programming, trauma-informed consultation, somatic wellness techniques, community programming, cultural reclamation projects, advocacy, and related offerings (“Services”).
3.2 Services are provided exclusively online and are for educational, informational, and supportive purposes only.
3.3 IIRS is a trauma-informed professional and Neuroscience consultant, and is NOT a licensed mental health professional, psychologist, psychiatrist, or medical provider.
3.4 IIRS Services do not constitute:
Medical, psychological, psychiatric, or legal advice;
Diagnosis or treatment of any mental or physical health condition;
Emergency or crisis intervention services;
Any substitute for advice or treatment by licensed healthcare or mental health professionals.
3.5 Clients are expressly advised to seek licensed professional help for diagnosis, treatment, or emergencies.
3.6 IIRS makes no guarantees as to the accuracy, completeness, applicability, or outcomes of Services.
3.7 Professional Status and Client Acknowledgment
3.7.1 Clients acknowledge and agree that IIRS is a trauma-informed professional and Neuroscience consultant, not a licensed mental health professional or medical provider.
3.7.2 Clients further acknowledge that Services are educational and supportive only, and do not replace licensed professional diagnosis, treatment, or emergency care.
3.7.3 By engaging with IIRS, clients accept full responsibility for their use of Services and release IIRS from any liability related to health outcomes or injury. - JEDI Framework Integration
4.1 IIRS operates with a foundational commitment to Justice, Equity, Diversity, Inclusion, and Accountability (“JEDI”), as set forth in the JEDI Framework.
4.2 The JEDI Framework includes:
4.2.1 Active dismantling of systemic oppression (e.g., racism, colonialism, ableism, cisheteronormativity);
4.2.2 Equitable redistribution of resources and access to historically marginalized communities;
4.2.3 Affirmation and centering of diverse identities, experiences, and cultural knowledges;
4.2.4 Creation of trauma-informed, accessible, and culturally relevant spaces; and
4.2.5 Transparent, restorative accountability processes for addressing harm.
4.3 Clients agree to abide by the values and practices outlined in the JEDI Framework.
4.4 Any conduct inconsistent with the JEDI Framework may result in suspension or termination of Services. - Client Responsibilities, Conduct & Acknowledgements
5.1 Clients must:
5.1.1 Provide complete, accurate, and current information as requested;
5.1.2 Engage respectfully and in good faith with facilitators, staff, and other participants;
5.1.3 Refrain from harassment, discrimination, intimidation, abusive, or disruptive behavior of any kind;
5.1.4 Respect confidentiality and privacy of all participants;
5.1.5 Use Services only for lawful and intended purposes;
5.1.6 Understand and respect that IIRS does not provide emergency or crisis services and seek appropriate assistance in such situations; and
5.1.7 Follow all specific guidelines communicated for particular Services or events.
5.2 Clients are solely responsible for their actions during participation.
5.3 Violation of any conduct requirement may lead to immediate removal from Services without refund.
5.4 IIRS reserves the right to cooperate with law enforcement authorities regarding illegal activities. - Intellectual Property Rights
6.1 All content and materials offered by IIRS, including but not limited to: text, graphics, logos, images, audio, video, software, curricula, and educational resources, are the exclusive intellectual property of IIRS or its licensors.
6.2 Clients are granted a limited, non-transferable, non-exclusive license to access and use content solely for personal, non-commercial use consistent with these Terms.
6.3 Any unauthorized use, reproduction, distribution, modification, public display, or exploitation of IIRS’ intellectual property is strictly prohibited and may result in civil and criminal liability.
6.4 Clients may not circumvent technological measures used to protect IIRS’ content. - Confidentiality and Privacy
7.1 IIRS respects and protects your privacy in accordance with our Privacy Policy.
7.2 Personal information is collected, stored, and used only as necessary for providing Services, complying with legal obligations, and improving offerings.
7.3 IIRS implements reasonable administrative, technical, and physical safeguards to protect your information.
7.4 Clients consent to international data transfers as required for provision of Services.
7.5 IIRS commits to protecting personal information per its Privacy Policy but cannot guarantee absolute security or privacy of data transmitted online.
7.6 Clients accept the inherent risks of electronic communication and release IIRS from any liability arising from unauthorized access, data breaches, or other privacy violations despite reasonable protections.
7.7 Clients must maintain confidentiality of other participants’ information encountered during Services. - Liability Disclaimers
8.1 All Services are provided “as is” and “as available,” without warranties or representations of any kind, express or implied.
8.2 IIRS expressly disclaims any liability for any damages, losses, claims, or injuries arising from or related to use of the Services, including but not limited to:
>Death;
>Personal injury (physical or psychological);
>Emotional distress or trauma;
>Data breaches or privacy violations;
>Financial losses or consequential damages.
8.3 IIRS is not liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages resulting from:
>Use or inability to use Services;
>Reliance on information or advice provided;
>Actions taken by clients based on Services;
>Client’s personal interpretations;
>Any outcomes including psychological and emotional on part of the client;
>Third-party content or links outside IIRS control
8.4 IIRS disclaims responsibility for any emergency, crisis, or urgent health situations; Clients must immediately seek emergency services or licensed medical care if needed.
8.5 While IIRS employs strong privacy and data protection measures, no guarantee of absolute privacy or security can be made. IIRS disclaims liability for unauthorized access to personal data despite reasonable safeguards.
8.6 Nothing in this Section limits liability for death or personal injury caused by IIRS’ gross negligence or willful misconduct to the extent not excluded by applicable law. - International Use and Compliance
9.1 Services are available globally and IIRS does not guarantee compliance with regional laws.
9.2 Clients accessing Services internationally are responsible for compliance with local laws and regulations.
9.3 IIRS does not assume liability for any breach of local laws by Clients.
9.4 Access to certain content or Services may be restricted or prohibited in some jurisdictions.
9.5 Clients agree not to use Services in any jurisdiction where such use would violate applicable laws. - Payment and Refunds
10.1 All fees for Services are stated in Singapore Dollars (SGD) unless otherwise specified.
10.2 Payment methods accepted will be clearly communicated and are subject to availability and third-party processor policies.
10.3 Payments must be made in full prior to Service delivery unless otherwise agreed in writing.
10.4 Cancellation and refund policies are governed by separate Client Financial Responsibility Agreements.
10.5 IIRS reserves the right to modify fees at any time, with notice to Clients.
10.6 Late payments or non-payments may result in suspension or termination of Services.
10.7 Clients remain responsible for all applicable taxes or duties associated with payments. - Termination and Suspension
11.1 IIRS may suspend or terminate User access to Services for:
11.1.1 Violation of these Terms or any applicable policies;
11.1.2 Illegal or unethical conduct;
11.1.3 Non-payment; or
11.1.4 Other reasons at IIRS’ sole discretion.
11.2 Termination or suspension does not relieve Clients of outstanding payment obligations.
11.3 Clients may terminate their participation by providing written notice, subject to any agreed terms.
11.4 Termination does not waive Clients’ financial or legal obligations. - Dispute Resolution and Governing Law
12.1 These Terms and any disputes arising hereunder shall be governed by the laws of:
12.1.1 The State of California, USA; and
12.1.2 The Republic of Singapore.
12.2 Jurisdiction and venue for disputes shall lie exclusively in courts or arbitration forums within these jurisdictions, as applicable.
12.3 Parties agree to first attempt to resolve disputes through good faith negotiation for a minimum of 30 calendar days.
12.4 If unresolved, disputes shall be submitted to final and binding arbitration under the Singapore International Arbitration Centre (SIAC) rules, held in Singapore and conducted in English.
12.5 Arbitration award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. - Severability
If any provision or part of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect. - Amendments
14.1 IIRS reserves the right to amend, update, or replace these Terms at any time.
14.2 Amendments shall be effective immediately upon posting on IIRS’ website or communicating to Clients via email or other channels.
14.3 Continued use of Services after amendments constitutes acceptance of revised Terms.
14.4 Clients are encouraged to review Terms regularly. - Entire Agreement
15.1 These Terms, together with IIRS’ Privacy Policy, Client Agreements, and the JEDI Framework, constitute the entire agreement between Clients and IIRS regarding access to and use of Services.
15.2 All prior agreements, negotiations, and understandings are superseded and of no effect.
By accessing or using Services provided by Institute for Intersectional Relational Studies and Pillow Talk With Nixi, you acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions.
